Asbrand Fragrances Distributor Agreement
This Distributor Agreement (“Agreement”) is entered into between:
Asbrand Fragrances (Pty) Ltd (“Company”)
and
Distributor
1. Purpose
The purpose of this Agreement is to outline the terms under which the Distributor may purchase and resell Asbrand Fragrances products.
2. Independent Distributor Status
The Distributor is an independent contractor and not an employee, agent, or partner of Asbrand Fragrances.
The Distributor is responsible for their own taxes, business expenses, and compliance with applicable laws.
3. Product Purchases
Distributors may purchase products at wholesale prices set by Asbrand Fragrances.
Products must be paid for in full before delivery.
Stock may not be returned unless covered under the Company’s official Refund & Return Policy.
4. Resale & Pricing
Distributors may resell products at the recommended retail price (RRP) or higher.
Underpricing below wholesale or damaging brand value is prohibited.
Distributors must use approved branding and marketing materials.
5. Marketing & Promotion
Distributors may promote Asbrand products via word of mouth, social media, and personal networks.
False claims, misleading advertisements, or unauthorized use of trademarks are strictly prohibited.
Any promotional campaigns using the Asbrand name or logo must be pre-approved by the Company.
6. Commissions & Earnings (if applicable to your model)
Distributors may recruit other distributors in line with the Asbrand network marketing structure.
Commission earnings will be based on the official compensation plan.
Earnings are dependent on sales and effort; no income is guaranteed.
7. Responsibilities of Distributor
Maintain professionalism and integrity while representing Asbrand.
Provide excellent customer service to buyers.
Avoid activities that may harm the reputation of the Company.
8. Term & Termination
This Agreement is effective from the date signed and continues until terminated by either party.
The Company may terminate this Agreement for:
Breach of terms,
Misrepresentation of the brand,
Illegal or unethical business practices.
Distributor may terminate at any time by written notice.
9. Intellectual Property
All trademarks, logos, branding, and marketing materials remain the property of Asbrand Fragrances.
Distributor may only use these assets for the promotion and sale of official products.
10. Liability
The Company is not liable for personal losses, debts, or damages incurred by the Distributor.
Distributors are responsible for ensuring customer safety in product handling and use.
11. Governing Law
This Agreement shall be governed by the laws of South Africa.
Acknowledgement
By continuing to buy and join this business, You’ve acknowledge that You have read, understood, and agreed to the terms of this Agreement.
